Abstract
This document defends the thesis that in the Ecuadorian legal system the duty of
loyalty that company directors must comply with is not absolute and that it has been diminished
with the latest reforms to the Companies Law. In particular, this is manifested through the
multiple exceptions to the so-called prohibition of self-contracting of administrators.

Este documento defiende la tesis de que en el ordenamiento jurídico ecuatoriano el
deber de lealtad que deben cumplir los administradores de las sociedades no es absoluto y que se
ha visto disminuido con las últimas reformas a la Ley de Compañías. En particular esto se
manifiesta a través de las múltiples excepciones a la denominada prohibición de autocontratación
de los administradores.
