Abstract
The paper examines the legal feasibility of share tokenization within the Ecuadorian
legal framework through a comparative analysis of the United States and Argentina
models. A comparative-legal and analytical method is applied to regulations,
doctrine, and regulated practices. Common elements are identified—such as the legal
recognition of DLT-based registers, supervision of custodians, and authorized
platforms—that could be progressively adapted in Ecuador to modernize the
corporate regime, protect shareholders, and enhance the country’s competitiveness.

El trabajo examina la viabilidad jurídica de la tokenización de acciones en el
ordenamiento ecuatoriano mediante un análisis comparado de los modelos de Estados
Unidos y Argentina. Se emplea método jurídico-comparado y analítico sobre
normativa, doctrina y prácticas reguladas. Se identifican elementos comunes
(reconocimiento legal de registros DLT, supervisión de custodios y plataformas
autorizadas) que pueden adaptarse progresivamente a Ecuador para modernizar el
régimen societario, proteger a los accionistas y elevar la competitividad del país.
