Abstract
The abuse of the absorption of wholly-owned companies, established in Article 344.1 of
the Ecuadorian Companies Law and referred to in comparative law as a twin merger, has emerged
as an issue of growing significance in both corporate and tax law. This legal mechanism, which
enables the integration of companies with an identical ownership structure and the same legal
representative, was originally intended to simplify corporate reorganization processes.
Nevertheless, its misuse has given rise to abusive practices aimed at debt elimination and tax
evasion, undermining the rights of creditors and the interests of the State, represented by the
Internal Revenue Service (SRI). This study examines the legal, economic, and tax implications of
the abusive use of twin absorption, highlighting regulatory gaps and the limitations of current
oversight mechanisms exercised by the Superintendency of Companies and the Tax
Administration. Furthermore, it proposes guidelines to strengthen legal certainty and promote
greater transparency in corporate practices.
