Abstract
In the context of the economic crisis that Ecuador is going through, on March 15, 2023,
the Reformatory Law to the Law of Companies for the Optimization and
Entrepreneurial Impulse and for the Promotion of Corporate Governance was approved
through which the Law of Companies was reformed. Among the main amendments
made, Article 260 of the Companies Law was amended and a fourth paragraph was
included, which modifies the joint and several liability regimes of the administrators
and representatives of the companies in accordance with the provisions of the second
paragraph of Article 36 of the Labor Code.
The reform establishes that the administrators will not be responsible for the fulfillment
of the labor obligations of the company, unless any type of fraud, abuse of rights or any
other similar act is proven in court.
This reform has been criticized by several sectors, which consider that it violates the
principle of intangibility of workers' rights. These sectors argue that the reform leaves
workers in a vulnerable situation, since it prevents them from demanding compliance
with their labor rights.
The purpose of this research is to analyze the impact of the reform of article 260 of the
Reformatory Law to the Companies Law and the principle of intangibility of workers'
rights in Ecuador.
