| dc.description | En el presente trabajo se analiza el vínculo que mantiene el representante legal con la compañía que administra, desde la perspectiva clásica de las dos teorías que han prevalecido: la teoría contractual y la teoría orgánica. Con base en ello, se determina que la orgánica es la que más tiene recepción en el ordenamiento jurídico societario en Ecuador. También se analiza los supuestos no contemplados, en el caso de los representantes legales que han llegado al ejercicio de su cargo mediante un ascenso administrativo interno en la organización empresarial, motivo por el cual puede cuestionarse, por parte de las compañías empleadoras, acerca de cómo esa relación debe cambiar óptimamente del ámbito del Derecho laboral al civil, puesto que se verifica que en Ecuador existe un vacío legal acerca de estos casos. | |
| dc.description.abstract | In this work, the link that the legal representative maintains with the company he manages is analyzed, from the classic perspective of the two theories that have prevailed: the contractual theory and the organic theory. Based on this, it is determined that the organic one is the one that has the most reception in the corporate legal system in Ecuador. The assumptions not contemplated are also analyzed, in the case of legal representatives who have reached the exercise of their position through an internal administrative promotion in the business organization, which is why it may be questioned, by the employing companies, about how This relationship should optimally change from the scope of labor law to civil law, since it is verified that in Ecuador there is a legal vacuum regarding these cases. | |
