Abstract
In the Ecuadorian stock market, the role of bondholders' representatives is crucial
for protecting investors' interests, especially in situations of potential default on obligations.
However, their effectiveness is challenged by limitations in their capacity to intervene and
dependence on information provided by issuers. The independence of these representatives can
be compromised due to the nature of their payment relationship with issuers, potentially leading
1
to conflicts of interest and affecting their impartiality. This issue underscores the need for
reforms to ensure more efficient and transparent actions by the representatives. A proposed
solution is to modify the payment mechanism for representatives' fees, transferring the payment
responsibility to the Superintendence of Companies, Securities, and Insurance (SCVS). This
change would ensure the independence of the representative and reduce conflicts of interest.
Furthermore, it is recommended that the fees be validated and paid by the SCVS to ensure fair
and proportional compensation, encouraging more effective performance. Finally, the inclusion
of Bondholders' Representatives in the Public Registry of the Stock Market is suggested to
improve the regulation and supervision of their activities. These measures could significantly
strengthen the role of Bondholders' Representatives, enhancing the trust and stability of the stock
market in Ecuador.
