The purpose of this study is to analyze the company’s obligation to keep and protect its corporate books, which are essential to the company’s documentary and economic history. Although the Companies Act and the Commercial Code place their custody with the administrators, the lack of a specific procedure to replace them when they are lost or destroyed creates legal gaps that reveal the need for additional measures to guarantee their adequate conservation. This study employs a historical and comparative method, complemented by a qualitative approach, which allows the interpretation, description and understanding of corporate practices, normative criteria and solutions used in the absence of express regulation. In order to answer the questions and difficulties arising from the loss or destruction of corporate books, the jurisdictions of Peru, Colombia and Bolivia are analyzed. Based on this comparison, reform proposals applicable to Ecuadorian law are put forward, aimed at strengthening transparency, documentary protection and information control. The research seeks to contribute to the strengthening of corporate transparency and legal certainty in companies.
